Constitution & Articles

NFU Scotland has given all members by email or post Notice of an Extraordinary General Meeting (under Article 18) being held online on 26 September 2024 at 7pm to discuss proposed changes to its constitution. 

Copies of the existing Memorandum of Understanding,  Articles of Association and Standing Orders and versions containing the proposed changes are below.

They have been grouped into five categories, which in summary are: 

  1. Amending the construct and size of the Board of Directors 
  2. Appointment of Independent Directors 
  3. Providing more flexibility for Committees to function 
  4. Adding a new formal Sub-Committee (Remuneration Sub-Committee) of the Board of Directors
  5. Updating some operational practice and language which is outdated, including adopting gender neutral language
